These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, platforms, products, and services operated by Revive HQ, Inc. and its subsidiaries and affiliates, including Revive Realty LLC, Revive Construction LLC, HomePrep LLC, and Revive Offers LLC (collectively, “Revive,” “we,” “us,” or “our”). Our websites, apps, and related tools are referred to collectively as the “Platform.”

By using the Platform, you agree to these Terms. If you do not agree, do not access or use the Platform.

Where Revive HQ Inc. provides services in its capacity as a licensed general contractor, those services are governed by a separate written Home Improvement Contract (HIC) or construction agreement. These Terms apply only to use of the Platform and related introductions.

1) What Revive Is

Revive helps homeowners, real estate agents, and contractors unlock property value through technology, educational content, and professional introductions. We are a matchmaking and services platform—we introduce you to real estate professionals, contractors, lenders, or investors and provide tools (including Revive AI) that generate estimates, visualizations, and workflows. We are not your broker, fiduciary, appraiser, inspector, or contractor. Services are delivered by independent third parties you choose to engage.

2) Acceptance, Eligibility, and Accounts

Acceptance. By accessing or using the Platform, you agree to these Terms and to any additional policies referenced here (including our Privacy Policy).

Eligibility. You must be able to form a binding contract and comply with applicable law.

Accounts. If you create an account, you must provide accurate, current information and keep it updated. You’re responsible for safeguarding your login credentials and for activity on your account.

3) Changes to the Platform and to These Terms

We may modify the Platform and these Terms at any time. We will provide notice of material changes (e.g., by posting to the Platform or emailing you). Your continued use after the notice period means you accept the updated Terms.

4) Limited Right to Use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal or legitimate business purposes related to real estate. We may suspend or terminate access for any violation of these Terms.

5) Intellectual Property; User Content

5.1 Our IP

The Platform, including software, text, visuals, data, reports, logos, and trademarks, is owned by Revive or its licensors and is protected by intellectual property laws. Except for the limited license above, we reserve all rights.

5.2 Your User Content & License to Revive

You retain ownership of content you upload or submit (“User Content”). By submitting User Content, you grant Revive and our service providers a worldwide, non-exclusive, perpetual, irrevocable, transferable, sublicensable, fully-paid, royalty-free license to host, store, reproduce, modify, create derivative works (e.g., formatting, translations, or adaptations), publicly display, publicly perform, and distribute your User Content solely to operate, promote, improve, and secure the Platform and our services, and to develop new features. You represent you have all rights necessary to grant this license and that your User Content doesn’t infringe others’ rights.

We may remove or refuse to transmit User Content for any reason consistent with law.

6) Prohibited Uses and Platform Security

You agree not to: (a) post illegal, offensive, harassing, deceptive, or harmful content; (b) infringe others’ rights; (c) upload malware; (d) harvest personal data without consent; (e) run unauthorized ads, contests, or solicitations; (f) scrape, crawl, or copy the Platform without written permission; (g) reverse-engineer or decompile the Platform; (h) overload or interfere with the Platform; or (i) circumvent security or access controls. Any attempt to breach or disrupt the Platform may result in termination and legal action.

7) Communications; Call Recording; SMS/Text

By providing contact information, you consent to be contacted by Revive and our partners via phone, email, SMS/text, or automated systems, as permitted by law. Standard carrier rates apply. You may opt out of marketing texts by replying STOP; you may unsubscribe from marketing emails using the link in those emails. Transactional or service messages may still be sent.

If you call or receive a call via a Revive tracked number, Revive may record the call for quality, compliance, and training. Where required, we will provide notice or obtain consent.

8) Privacy; Cookies & Tracking

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, share, and (where applicable) sell or “share” personal information under applicable privacy laws, including the CCPA/CPRA. It also describes your rights (access, deletion, opt-out of sale/share, etc.) and how to exercise them.

We use cookies and similar technologies for functionality, analytics, security, marketing, and personalization. See our Privacy Policy and cookie disclosures for details and controls.

We honor browser-based opt-out signals, including the Global Privacy Control (GPC), as required under California law. You may also manage cookies through your browser settings. Please note that disabling or blocking cookies may affect functionality of the Services.

9) What We Don’t Do: No Brokerage, No Fiduciary, No Contracting

Revive is not a real estate broker for you, not a fiduciary, not a contractor, appraiser, inspector, lender, escrow, title company, or legal/financial advisor. Professionals introduced through the Platform are independent from Revive, and you alone decide whether to engage them and on what terms. Revive does not supervise, warrant, or guarantee third-party work, pricing, timing, workmanship, permits, inspections, or outcomes.

10) Accuracy of Your Information

You must provide accurate and complete information, including valid contact details. We may suspend or terminate access for inaccurate or misleading submissions.

11) Terms for Brokers and Agents

  • Profile & Display. You authorize Revive to display your name, likeness, specialties, service areas, reviews, and transaction history on the Platform and our partner/affiliate channels to help users understand your practice.
  • Referral Fees. Maintaining a profile is free. If you accept a Revive referral and close a transaction, you agree to pay Revive Realty LLC a referral fee (a percentage of the gross commission you earn) under our referral agreement and prevailing program terms.
  • Licensing & Compliance. You’re responsible for holding an active license and complying with all real estate laws and brokerage rules, including disclosures and documentation.
  • Pre-Existing Relationships. If you had an active client relationship within 90 days before a Revive referral, you must disclose this to Revive in writing.
  • Indemnification. You agree to indemnify, defend, and hold Revive harmless from claims by your clients relating to brokerage services you provide.
  • Communications & Recording. You consent to communications via Revive systems and acknowledge calls may be recorded as described above.
  • Termination. Participation is voluntary and may be terminated by either party upon notice; however, referral fees remain due for transactions arising from referrals made prior to termination.

12) Terms for Referral Agreements with Agents

Where applicable, the following apply in addition to any signed referral agreement:

  • Confidentiality. Revive may share confidential client data, portal access, and proprietary know-how. You must protect it with at least the same care you use for your own confidential information and not disclose or misuse it. Obligations survive termination.
  • Representations & Warranties. You represent you’re duly licensed, authorized to enter agreements, and that your broker will honor referral fees due to Revive Realty LLC. Your obligations will not violate any law or third-party rights.
  • Indemnity. You will indemnify and hold harmless Revive and affiliates from all claims, losses, damages, liabilities, penalties, and expenses (including reasonable attorneys’ fees) arising from (i) your negligence or breach, or (ii) client claims regarding your brokerage services. Obligations survive termination.
  • Limitation of Liability. Revive’s total liability under a referral agreement shall not exceed $250.
  • Prevailing Party Fees. In disputes under a referral agreement, the prevailing party is entitled to recover reasonable attorneys’ fees and costs.
  • Severability; No Waiver. If a provision is unenforceable, it is severed; the remainder continues. No failure to enforce is a waiver.

13) Terms for Buyers and Sellers

  • Introductions. With your authorization, Revive may introduce you to agents, contractors, lenders, or investors and share relevant contact details between the parties.
  • No Agency. Revive is not your agent and will not perform brokerage services on your behalf beyond introductions and tools.
  • Compensation Disclosure. Revive may receive referral fees, program fees, commissions, discounts, or equity/economic participation from parties involved. These amounts do not increase the price you pay to third parties.
  • Voluntary Participation. Either party may end participation with notice; introductions made prior to termination remain governed by these Terms.
  • Revive and its affiliates are committed to compliance with all applicable housing laws, including the federal Fair Housing Act, which prohibits discrimination in housing and related services.

14) Terms for Contractors and Vendors

  • Independent Contractors. Contractors in Revive’s network are independent third parties. Revive does not control, supervise, or guarantee their work, schedules, pricing, or outcomes—even if trained on Revive standards.
  • Network Participation. Participation may require separate agreements, onboarding, and compliance with Revive quality and communication standards.
  • Indemnification. If you hire contractors introduced via Revive, you agree to indemnify Revive from claims related to the contractor’s work or your use of such services.

15) Revive AI, Estimates, and Valuations

  • Informational Use Only. Revive AI may generate valuations, condition assessments, renovation plans, estimates, and visualizations. These are informational tools, not appraisals, inspections, guarantees, or legal/financial advice.
  • Revive AI outputs are informational only. They are not appraisals, inspections, guarantees, or a substitute for advice from licensed professionals. Outputs may contain errors or rely on incomplete data, and should not be relied upon for lending, insurance, tax, or regulatory purposes.
  • Regulatory Note. Revive AI outputs are not prepared by licensed appraisers and must not be used to satisfy regulatory, lending, or insurance requirements.

16) Disclaimers

THE PLATFORM, CONTENT, AND ANY OUTPUTS (INCLUDING REVIVE AI) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

WHERE REVIVE ACTS AS A LICENSED GENERAL CONTRACTOR UNDER A SEPARATE WRITTEN AGREEMENT, ANY WARRANTIES, GUARANTEES, OR LIABILITIES ARE GOVERNED EXCLUSIVELY BY THAT AGREEMENT. REVIVE DISCLAIMS LIABILITY FOR CONSTRUCTION WORK PERFORMED BY INDEPENDENT THIRD-PARTY CONTRACTORS INTRODUCED THROUGH THE PLATFORM.

17) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY. REVIVE’S TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE GREATER OF: (A) $250 OR (B) THE AMOUNTS YOU PAID TO REVIVE FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT. The foregoing does not limit liability for fraud, willful misconduct, or where prohibited by law.

18) Indemnification

You agree to indemnify, defend, and hold harmless Revive and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use of the Platform, (ii) your breach of these Terms, or (iii) your violation of law or third-party rights.

19) Governing Law; Binding Arbitration; Class Action Waiver

  • Governing Law & Venue. These Terms are governed by the laws of the State of California, without regard to conflict of laws.
  • Arbitration. Except for claims that may be brought in small claims court or requests for temporary injunctive relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (and, where applicable, the Consumer Rules). The seat of arbitration will be Orange County, California. One arbitrator will preside. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
  • Confidentiality. Arbitration proceedings will be confidential, to the extent permitted by law.
  • Fees. If you demonstrate arbitration costs would be prohibitive compared to litigation, Revive will pay the portion of AAA fees the arbitrator deems necessary to avoid prohibitive costs. In the final award, the arbitrator may apportion fees and costs as appropriate.
  • No Class Actions. YOU AND REVIVE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may award relief only in favor of the individual party seeking relief.
  • Public Injunctive Relief. To the extent required by applicable law, a claim for public injunctive relief may be brought in court; all other claims will be arbitrated first, and the court shall be bound by the arbitrator’s findings under principles of claim/issue preclusion.
  • Severability. If any portion of this Section is found unenforceable, that portion will be severed, and the remainder enforced to the fullest extent permitted by law.
  • Disputes arising under separate written construction contracts or other service agreements are governed by the dispute resolution provisions in those agreements, not by this Section.

20) Termination

We may suspend or terminate your access at any time for any violation of these Terms or to protect the Platform or users. You may stop using the Platform at any time. Termination does not affect rights and obligations that have accrued, including referral fees, indemnities, licenses granted, or limitations of liability, which survive termination.

21) Assignment

We may assign these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets/equity, or by operation of law. You may not assign these Terms without our prior written consent.

22) Miscellaneous

  • Entire Agreement. These Terms (plus policies referenced here, including our Privacy Policy) constitute the entire agreement between you and Revive.
  • No Waiver. Our failure to enforce any right is not a waiver of future enforcement.
  • Severability. If any provision is unenforceable, it will be replaced with an enforceable term that most closely reflects the intent, and the remainder remains in effect.
  • Notices. We may provide notices by posting to the Platform or emailing the address associated with your account.

23) DMCA Policy (Copyright)

We comply with the Digital Millennium Copyright Act. To submit a notice of claimed infringement, please send a written notification including the elements required by 17 U.S.C. §512(c)(3) to:

While there is an abundance of evidence that supports that renovated turnkey homes sell faster and for more, Revive, nor the Contractor, can guarantee a specific as-is or after renovation value or the exact time that it would take to get a renovated home sold. Further, Revive cannot provide a guarantee that the real estate market will not experience fluctuations or a decrease during the renovation or sales period.
